Terms
and Conditions of Sale
All prices are exclusive of V.A.T. at the current rate
The prices are Net to the client and based on this estimate being accepted
in its entirety.
We reserve the right to revise these prices if items are extracted on an
individual basis.
Prices are correct at the time of printing and any variations will be
notified in writing 7 days prior to delivery of the goods, the client may
cancel their order at this stage in writing only which must be received at
least 3 days prior to any agreed delivery date.
We reserve the right to substitute alternative equipment as may be deemed
necessary.
This estimate is open for acceptance within 30 days; thereafter we reserve
the right to revise the estimate as appropriate. This is NOT a fixed price
quotation.
This estimate is for supply and kerbside delivery only to a UK mainland
address.
An installation/civil works estimate will be prepared if requested and, if
adopted, will form an independent contract, albeit, run in tandem by our
contract manager.
The intellectual copyright to all designs, sketches & specifications
supplied in any format remain the property of Branstone Services Ltd. And
may not be copied, adapted or distributed in any format without our express
written permission.
Current delivery forecasts are dependent on the equipment ordered and the
stock levels at the time of order. Confirmation of anticipated delivery from
receipt of a signed approved drawing (if applicable), your official order
quoting our reference number, all finishes details and deposits as
appropriate, will be provided at acknowledgement stage.
Time will not be considered the essence of any contract.
Cancellation of an official order will incur a cancellation fee of between
25% to 100% dependent on notification period & items cancelled.
All equipment will remain the property of BRANSTONE SERVICES LTD. until
paid for in full although the client or their representative will be
responsible for adequate insurance and security of the equipment following
delivery to site.
Payment terms:
a. Invoices are due for payment 14 days from date of invoice
or in accordance with an agreed payment plan.
b. Subject to terms offered on each estimate &
deemed accepted by the client by our receipt of a client’s official order.
c. Installation and civil work estimate payment terms subject to stage
payments negotiable at the time of order.
Should an agreed delivery/installation date be altered due to reasons
beyond our control we reserve the right to invoice for the full equipment
value together with transport costs to and from our consolidation warehouse,
storage and insurance costs whilst stored. Alternatively the clients may
take delivery of the equipment into their own UK mainland storage
facilities.
Interim and stage payments are to be maintained as agreed during the
contract period.
We reserve the right to withhold equipment deliveries and/or withdraw our
labour force should an account fall into arrears.
Should an account fall into arrears all credit arrangements that may have
been offered will be cancelled and payment for ALL goods and services
supplied to date will become due immediately.
Interest of 3% of the outstanding debt per calendar month or part month
from the date of default will be added to all overdue accounts and notified
by statement.
Warranty will begin from the date of installation / delivery and generally
cover parts (except glass, bulbs, refrigerant gasses and consumables) and
labour for a period of 12 months (subject to the equipment being properly
serviced and maintained in accordance with the manufacturers
recommendations) unless stated.
Operator error, misuse or attendance by persons unauthorised to do so by
Branstone Services Ltd will invalidate the equipment warranty.
Civil work warranty is for a period of 3 calendar months from handover, at
which stage an agreed snagging list will be drawn up and any rectification
work will be carried out, where possible, within 30 days. Operator error,
misuse or attendance by persons unauthorised to do so by Branstone Services
Ltd will invalidate the warranty.
Withholding payment due to outstanding snagging lists will not be accepted
unless a retention percentage was agreed prior to contract commencement.
Main contractor’s discounts are not allowed for within our estimates
unless specifically itemised. 17 We offer no warranty for existing equipment
retained or repositioned during any work carried out. All equipment to be
reused must be in acceptable condition and meet current regulations for our
engineer to re-install.
We recommend a full deep clean be carried out following any works carried
out within a catering area, although it is the responsibility of the client
and/or their caterer to satisfy themselves of the suitable hygienic
condition of the environment, following any projects completion prior to
food production.
It is the clients responsibility to obtain all necessary planning consent,
building regulations, environmental health, fire officer, landlords and all
other approvals as may be required prior to the proposed date of
commencement of any work on site.
This document and all associated documents, remain the property of
BRANSTONE SERVICES LTD, and may not be copied or distributed in part or
entirety without our express written permission.
We reserve the right to demand the immediate return of all original
documents together with all copies made either in paper, electronic or any
other format.
In the case of any dispute English law shall apply and these terms and
conditions will remain preferential over ALL others written, verbal or
implied at any time.
